End user license agreement (EULA)

Effective Date: January 1st, 2025

This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and Scenario Software LLC ("Company," "we," "us," or "our") governing your access to and use of the Scenario platform ("Software"). By installing, accessing, or using the Software, you agree to be bound by this Agreement. If you do not agree to the terms, do not use the Software.

1. License Grant

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Software on compatible devices for personal or business use, in accordance with our Terms of Service.

2. Restrictions

You may not:

- Modify, distribute, sell, lease, or sublicense the Software.

- Reverse engineer, decompile, or attempt to extract the source code.

- Use the Software for any unlawful or unauthorized purposes.

- Circumvent or disable security features of the Software.

3. Data Collection & Privacy

By using the Software, you acknowledge and consent to our collection of analytics and anonymized data to improve performance. Our Privacy Policy governs the handling of personal data and is incorporated by reference into this Agreement.

4. Cloud Sync & Offline Use

The Software allows synchronization of user data across multiple devices. While efforts are made to ensure accurate syncing, we are not responsible for data loss or discrepancies due to connectivity issues.

5. Subscription & Payment

Certain features require a paid subscription via third-party payment processors. Fees, billing terms, and cancellation policies are outlined in our Subscription Terms.

6. Intellectual Property

All rights, title, and interest in the Software, including copyrights, trademarks, and trade secrets, remain with us. This Agreement does not grant you ownership of the Software.

7. Updates & Modifications

We may update or modify the Software at any time, which may require you to install updates. Continued use after an update constitutes acceptance of the modified Software.

8. Termination

We may terminate or suspend your access to the Software for any violation of this Agreement. Upon termination, you must cease all use and delete all copies of the Software.

9. Disclaimer of Warranties

The Software is provided "as is" without warranties of any kind, express or implied. We disclaim all liability for any damages arising from its use.

10. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for indirect, incidental, or consequential damages related to your use of the Software.

11. Governing Law

This Agreement is governed by the laws of the state of Illinois. Disputes shall be resolved in the courts of Illinois.
